Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Referent's AI-powered enterprise knowledge assistant platform, including our website, applications, and related services (collectively, the "Service"). These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and Referent, Inc. ("Referent," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Eligibility

You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws and regulations
• If you are accepting these Terms on behalf of an organization, you have the authority to bind that organization to these Terms

Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You may not share your account credentials or allow anyone else to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Subscription and Payment

Subscription Plans

Referent offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase.

Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method at the beginning of each billing cycle. If payment fails, we may suspend or terminate your access to the Service.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law or at our sole discretion.

Intellectual Property Rights

Our Content

The Service and its original content, features, and functionality are owned by Referent and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

Your Content

You retain ownership of any content you upload, create, or share through the Service ("Your Content"). By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide and improve the Service.

You represent and warrant that you have all necessary rights to grant us this license and that Your Content does not violate any third-party rights or applicable laws.

AI-Generated Content

The Service uses artificial intelligence to generate responses and insights based on your data. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You acknowledge that:

• AI-generated content is provided "as is" without warranties
• You should verify important information before relying on it
• We are not responsible for decisions made based on AI-generated content
• AI responses may not always reflect current information

Third-Party Integrations

The Service may integrate with third-party services (such as Slack, Google Drive, Notion, etc.). Your use of these integrations is subject to the terms and privacy policies of those third-party services. We are not responsible for the availability, accuracy, or content of third-party services.

When you connect third-party services, you authorize us to access and process data from those services as necessary to provide the Service, in accordance with your permissions and our Privacy Policy.

Data Security and Privacy

We take data security seriously and implement industry-standard measures to protect your information. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or your data
• Any interruption or cessation of the Service
• Any bugs, viruses, or malicious code transmitted through the Service
• Any errors or omissions in content
• Any loss or damage resulting from AI-generated content

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Referent and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Content.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason including:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended periods of inactivity
• At our sole discretion

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, but we are not obligated to do so. Sections of these Terms that by their nature should survive termination will survive.

Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice. We may also change pricing, features, or impose limits on certain features. We are not liable for any modification, suspension, or discontinuation of the Service.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court for intellectual property infringement.

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class-wide arbitration.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Referent regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
