1. Acceptance of Terms
Welcome to Referent, an AI-powered enterprise knowledge assistant service provided by Rodrigo Mahamud García, trading as Referent ("Referent," "we," or "us"). These Terms of Use ("Terms") govern your access to and use of the Service, including any content, functionality, and services offered through our platform and integrations. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
You represent that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally capable of entering into a binding agreement. You further represent that you have authority to bind your organization to these Terms if you are using the Service on behalf of a company or other legal entity. The Service is not intended for individuals under this age threshold.
2. Description of the Service
Referent is an AI-powered enterprise knowledge assistant designed to help businesses improve their operations. Referent integrates with your workspace tools and connects to your business platforms to assist with day-to-day tasks, research, reporting, and workflow automation. Key aspects of the Service include:
- Workspace Integration: Our Service integrates with platforms such as Slack, Google Drive, Notion, and others via OAuth 2.0 and APIs. By connecting Referent to your workspace, you authorize us to access and process messages, channels, and conversations where the assistant is mentioned or invited, as described in our Privacy Policy and in these Terms.
- AI-Powered Assistance: The Service uses advanced AI (including third-party AI services) to analyze conversations, conduct research, generate reports, create recommendations, and perform autonomous tasks on your behalf. Referent can draft documents, analyze data, prepare reports, and execute approved actions through connected business tools.
- Third-Party Integrations: Referent can connect to various third-party business platforms and tools to extend its capabilities. Each integration requires your explicit authorization via OAuth or API key and is governed by the respective platform's terms of service. Integrations connected in Referent are workspace-shared by design. Authorized team/workspace members may use those integrations and related tools through Referent, and actions may execute using the connected account's permissions.
- Autonomous Operations: Referent operates autonomously, running scheduled tasks, monitoring channels, and proactively generating reports and suggestions. Depending on your workspace configuration (including shared integrations, automation rules, and approval settings), some actions may execute without per-action human review. Other actions may require explicit approval from authorized users before execution.
3. Account Registration and Security
To use Referent, you will need to connect your workspace tools and optionally connect additional business platforms. When registering and using the Service, you agree to the following:
- Workspace Administrator Authorization: You represent that you have the authority to install applications in your workspace and to grant Referent the permissions it requests.
- Account Security: You are responsible for maintaining the security of your workspace and any connected third-party accounts. If you use OAuth or API keys to connect services, ensure those credentials remain secure.
- Shared Integration Responsibility: If you connect an integration in Referent, you represent that you are authorized by your organization and, if applicable, the relevant third-party account owner to do so. Because integrations are workspace-shared, you are responsible for granted scopes, account-level permissions, and resulting access to data and actions available to your workspace through Referent.
- Responsibility for Use: You are responsible for all activities that occur through Referent in your workspace, including actions taken by the AI on your behalf after receiving approval. If you notice any unauthorized activity, you must notify us immediately at legal@referent.app.
- Authorized Users: You agree to ensure that only authorized team members interact with Referent for business purposes. You are responsible for your team's compliance with these Terms.
4. User Permissions and Data Access
By connecting Referent to your workspace and business tools, you grant Referent the rights and permissions necessary to access and process data on your behalf:
- OAuth Consent: You understand that the Service uses OAuth authentication to request access to your workspace. During installation, you will be presented with a consent screen detailing the permissions we request (such as reading messages in channels where the assistant is invited, posting messages, uploading files, and reading user information). By granting consent, you authorize us to use those permissions to provide the Service. You may disconnect Referent from your workspace at any time.
- Third-Party Platform Access: When you connect business tools and platforms, you authorize us to access your account data as permitted by each platform's authentication mechanism. The specific data accessed depends on the integration and permissions you grant.
- Scope of Data Access: With your permission, Referent will read and respond to messages in channels where it is invited, process direct messages sent to the assistant, access connected platform data to perform requested tasks and generate insights, and execute approved actions on connected platforms. Because integrations are workspace-shared, authorized members may invoke those integrations and related tools through Referent.
- Use of Data: Any data obtained from your workspace or connected platforms will be used strictly in accordance with our Privacy Policy. We do not use your data for any purpose other than to provide and support Service functionality (including security, reliability, billing, and service communications). We do not sell your data for monetary consideration.
5. Approval Mechanisms and Autonomous Actions
Referent operates with varying levels of autonomy. You acknowledge and agree to the following:
- Low-Risk Actions: Referent may autonomously perform read-only operations, conduct research, generate reports, draft documents, and communicate via connected platforms without requiring explicit approval, and may execute other actions that you have configured as pre-authorized.
- High-Risk Actions: Actions that modify external systems or have significant business impact may require explicit approval through interactive approval mechanisms before execution.
- Pre-Authorized Actions and Policies: If you enable auto-approve settings, recurring workflows, shared integration permissions, or similar configuration controls, you authorize Referent to execute covered actions without per-action human approval.
- Approval Authority: You are responsible for ensuring that only authorized personnel can view and approve action requests, including by maintaining appropriate channel and thread access controls. Approval via Referent's approval flow by a user with access to the request constitutes authorization to proceed.
- Execution Responsibility: Once you approve an action, or once an action is allowed by your pre-authorization settings, Referent will attempt to execute it. You acknowledge that you are ultimately responsible for the consequences of approved or pre-authorized actions.
- Control and Revocation: You are responsible for promptly updating or revoking approvals, integration connections, permissions, and workflow settings if personnel, roles, or business requirements change.
6. Acceptable Use Policy
We are committed to ensuring the Service is used safely and lawfully. By using Referent, you agree to the following acceptable use conditions and you will NOT:
- Illegal Activities: Use the Service for any unlawful, illegal, or fraudulent activities.
- Infringement of Rights: Use the Service to infringe or misappropriate the intellectual property, privacy, publicity, or other legal rights of any person or entity.
- Export Controls and Sanctions: Use the Service in violation of applicable export control, sanctions, or trade laws, or by or for any person or entity restricted by applicable law.
- Violation of Platform Policies: Use the Service in ways that violate the terms of service of any connected platform.
- Unauthorized Access: Attempt to gain unauthorized access to any system, account, or data related to the Service or connected platforms.
- Harmful or Deceptive Use: Use the Service to create content that is false, misleading, defamatory, obscene, offensive, or that promotes hate, violence, or illegal activities.
- Phishing, Malware, and Impersonation: Use the Service to create or distribute phishing content, malware, harmful code, or deceptive impersonations.
- Interference with the Service: Interfere with, disrupt, or degrade the Service, including by introducing harmful code, abusing automation, scraping outside intended use, or imposing unreasonable load.
- Spam and Abuse: Use the Service to send unsolicited messages, spam, or to abuse any connected systems.
- Circumvention: Attempt to bypass or circumvent any usage limits, approval mechanisms, or security features we implement.
- High-Risk Use Cases: Use the Service for weapons development, unlawful surveillance, or in high-risk contexts where failure could reasonably cause death, personal injury, or severe physical, environmental, or property damage.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Service, and could expose you to legal liabilities.
We may investigate suspected violations of this Acceptable Use Policy, suspend or terminate access, and cooperate with law enforcement or regulators where appropriate.
7. Data Handling and Privacy
Your privacy is important to us. By using the Service, you acknowledge and agree that Referent will collect, use, and process your data as outlined in our Privacy Policy (which is incorporated herein by reference). Key points include:
- Workspace Data: When you connect Referent to your workspace, we access messages, conversation history, and workspace context to enable AI processing and provide the Service.
- Connected Platform Data: Data from connected platforms is accessed to perform requested tasks and may be cached to provide Service functionality.
- AI Processing: You understand that content from your workspace conversations and connected platforms will be processed by automated AI systems, including third-party AI providers. We ensure that these providers are under strict obligations to protect your data and do not use it to train their general models.
- Workspace Files: Referent creates and maintains internal workspace files (logs, reports, context documents) to support its operations. These are stored in our secure infrastructure.
- Data Removal: You can request deletion of your data at any time by contacting us at privacy@referent.app. Disconnecting integrations stops new data collection from those sources but does not by itself delete previously stored data. If your account is deleted or closed, or we receive a validated deletion request, we delete previously stored data in accordance with our Privacy Policy and retention timelines.
8. Intellectual Property Rights
All content, software, algorithms, and materials comprising the Service are the property of Referent or our licensors and are protected by intellectual property laws.
- License to You: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes.
- Restrictions: You will not copy, modify, distribute, or create derivative works based on the Service's code or content. You will not reverse engineer or decompile any technology associated with the Service.
- Your Content: You retain ownership of your business data, messages, and any other data you provide. By using the Service, you grant Referent a limited license to use that content as necessary to provide the Service.
- AI-Generated Content: Reports, documents, and other content generated by Referent are provided as work product for your use. You may use AI-generated content for your business purposes.
- Feedback: If you provide feedback or suggestions about the Service, you agree that we may use such feedback freely without any obligation to compensate you.
9. AI Content and Disclaimers
The Service involves the use of AI to generate content, reports, and recommendations. It is important to understand the following:
- AI-Generated Content May Be Imperfect: AI is not infallible. Content generated by Referent might occasionally be incorrect, misleading, incomplete, or inappropriate. The AI might misunderstand context, make erroneous recommendations, or generate inaccurate information. You are responsible for reviewing and verifying AI-generated content before acting on it or relying on it for business decisions.
- No Professional Advice: Any suggestions, reports, or recommendations generated by the Service should not be considered professional legal, financial, tax, medical, or other specialized advice. Always use your professional judgment and consult qualified professionals when appropriate.
- User Responsibility: You acknowledge that you are ultimately responsible for all business decisions and actions taken based on Referent's output.
- No Guaranteed Human Review: You understand that autonomous tasks and configured pre-authorized workflows may execute without real-time human review.
- Platform Compliance: You are responsible for ensuring that any actions executed through Referent comply with the policies of connected platforms and applicable laws.
10. Pricing and Paid Features
Current Pricing: The Service offers both free trial and paid subscription plans. You may try Referent without payment during the trial period.
Future Changes: Referent reserves the right to modify pricing, introduce new subscription plans, premium features, or usage-based pricing in the future. If we make changes that affect your current plan, we will provide you with at least 30 days' advance notice via message to your workspace administrators and/or email.
If You Subscribe: If you choose to subscribe to a paid plan, the following terms apply:
- Payment: All fees will be in euros unless otherwise specified. You will authorize Referent (or our payment processor) to charge your payment method for applicable fees and taxes.
- Billing: Subscriptions will be billed in advance according to the billing cycle you select.
- Auto-Renewal: Subscriptions will automatically renew unless cancelled before the end of the billing period.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- Refunds: Fees are generally non-refundable except at our discretion or where required by law.
11. Termination of Service
By You: You may stop using the Service at any time by disconnecting all integrations and closing your account. This stops future data collection from those sources. If your account is deleted or closed, or we receive a validated deletion request, we delete previously stored data in accordance with our Privacy Policy and retention timelines. You can also contact us at privacy@referent.app to request deletion.
By Us: Referent reserves the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe that: (a) you have violated these Terms, (b) you pose a security, legal, or business risk to the Service or other users, or (c) we decide to discontinue the Service. We may also limit or disable specific integrations, features, or workspaces where reasonably necessary for security, legal compliance, or risk mitigation.
Effects of Termination: Upon termination, your right to access or use the Service will immediately cease. We may deactivate your workspace connection and delete associated data. Sections of these Terms that by their nature should survive termination (such as indemnification, disclaimers, limitation of liability, and governing law) will survive.
12. Disclaimers of Warranties
Use at Your Own Risk: The Service (including all content, functions, and AI features) is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Referent disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
AI Outputs: Referent makes no warranty or guarantee regarding the accuracy, quality, or reliability of any AI-generated content, reports, or recommendations. We do not warrant that using the AI will achieve any specific results.
Third-Party Services: We are not responsible for the availability or proper functioning of any third-party services that the Service relies on. Changes to these platforms may affect Service functionality.
Some jurisdictions do not allow certain warranty exclusions. In such jurisdictions, the exclusions in these Terms apply only to the maximum extent permitted by applicable law.
13. Limitation of Liability
To the maximum extent permitted by law, Referent and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, including but not limited to damages for lost profits, lost data, business interruption, or reputational harm arising out of or related to your use of the Service.
In no event will Referent's total cumulative liability for all claims arising from or related to the Service exceed the amount you have paid to us for the Service in the last twelve (12) months (or, if you have not paid us, €0).
We are specifically not liable for:
- Actions taken by the AI on connected platforms
- Business decisions made based on AI recommendations
- Any consequences of approved or pre-authorized actions
Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the maximum extent permitted by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Referent and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Actions executed by Referent on your behalf after receiving approval or through your configured pre-authorization settings
- Your configuration of shared integrations, permissions, automations, or approval policies
- Your violation of these Terms or any applicable law
- Your violation of any third-party platform's terms of service
- Your violation of export control or sanctions laws
- Content created or actions taken using the Service
15. Modifications to the Service and Terms
Service Changes: We reserve the right to modify, update, or discontinue the Service (or any part of it) at any time, with or without notice.
Terms Changes: We may revise these Terms from time to time. If we make material changes, we will notify you through reasonable means (such as via message to workspace administrators or email). By continuing to use the Service after updated Terms are posted, you accept and agree to the changes.
16. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to the Service will be governed by and construed in accordance with the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Soria, Spain.
Users accessing the Service outside Spain are responsible for compliance with local laws. Nothing in these Terms limits non-waivable consumer rights under applicable law.
17. Miscellaneous
- Entire Agreement: These Terms (together with the Privacy Policy) constitute the entire agreement between you and Referent regarding the Service.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.
- Assignment: You may not assign these Terms without our prior written consent. We may freely assign these Terms.
- No Agency: No joint venture, partnership, employment, or agency relationship exists between you and Referent.

By using Referent, you acknowledge that you have read, understood, and agree to these Terms of Service.
